Terms and Conditions for Truepear: Dental Recruiting Agency
Welcome to Truepear ("Agency"). These Terms and Conditions ("Agreement") govern your use of the services provided by the Agency. By engaging the services of the Agency, you ("Client") agree to be bound by the terms of this Agreement.
1. Services Provided
• The Agency agrees to provide recruiting services for dental professionals, including but not limited to dentists, dental hygienists, dental assistants, and administrative staff.
• Services include job advertising, candidate sourcing, and initial screening. Background checks, reference verification, and interviewing candidates is not included in the services provided.
2. Term and Termination
• This Agreement shall commence on the date of Client's acknowledgement and acceptance of these terms ("Effective Date") and shall continue for a period of one year ("Term").
3. Client Responsibilities
• Client shall provide the Agency with detailed job descriptions, qualifications, and other pertinent information for each position to be filled.
• Client agrees to promptly review candidate submissions and provide timely feedback to the Agency.
• Client shall be responsible for conducting all interviews, background checks, reference verifications, and making final hiring decisions.
4. Fees and Payment Schedule
• The Client agrees to pay the Agency a placement fee agreed upon of each candidate hired through the Agency’s services.
• The payment schedule is as follows:
• Initial Payment: One-third (1/3) of the full placement fee is due upon engagement of the Agency's services.
• Second Payment: Balance is due 60 days after the candidate placement. This amount must be paid within 30 days of receiving the bill.
• Late payments will incur a [interest 10% per month late fee.
• If a placed candidate leaves or is terminated within 180 days, the Agency will provide a replacement search at no additional charge.
5. Confidentiality
• Both parties agree to maintain the confidentiality of all proprietary and confidential information shared during the recruitment process.
• The Agency will not disclose any personal or professional information about candidates without the express consent of the candidate, except as required by law.
6. Non-Solicitation
• During the term of this Agreement and for one year thereafter, the Client agrees not to solicit or hire any employee or contractor of the Agency without the Agency’s prior written consent.
7. Representations and Warranties
• The Agency represents and warrants that it will perform the services with reasonable care and skill and in accordance with industry standards.
• The Client represents and warrants that all information provided to the Agency is accurate and complete.
8. Limitation of Liability
• The Agency shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.
• The Agency’s total liability under this Agreement shall not exceed the fees paid by the Client for the services giving rise to the claim.
9. Indemnification
• The Client agrees to indemnify, defend, and hold harmless the Agency, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising out of or in any way connected with the Client's use of the services or breach of this Agreement.
10. Governing Law
• This Agreement shall be governed by and construed in accordance with the laws of Pennsylvania.
• Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Pennsylvania.
11. Entire Agreement
• This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, both written and oral, with respect to the subject matter hereof.
• No amendment to or modification of this Agreement is effective unless it is in writing and signed by both parties.
12. Severability
• If any provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.
13. Notices
• All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing and addressed to the parties at the addresses provided.
By engaging the services of the Agency, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
