Billing, Cancellation & Refund Policy

This Policy explains billing, cancellation, refund, recruiting-payment, and payment-dispute practices for the Truepear Platform and Truepear Recruiting Services.

1. Overview

This Billing, Cancellation & Refund Policy (the “Policy”) explains how payments, subscription cancellations, refunds, recruiting fees, payment disputes, and related billing matters are handled for the Truepear Platform and Truepear Recruiting Services.

By subscribing to, purchasing, accessing, or using any Truepear Services, you agree to this Policy, the Truepear Terms of Service, the Truepear Privacy Policy, and, when applicable, the Truepear Recruiting Services Agreement.

2. Platform Subscription

The Truepear Platform is offered as a recurring subscription service. Unless a different subscription term is presented and accepted at checkout, the Platform subscription is billed monthly.

New subscribers may receive a fourteen (14) day free trial. A valid payment method may be required to begin the trial. Unless the subscription is canceled before the trial ends, it automatically converts to a paid subscription, and the payment method on file will be charged the then-applicable subscription fee.

3. Subscription Cancellation

You may cancel a Platform subscription through the account billing area, the available Stripe Customer Portal, or another cancellation method expressly provided by Truepear.

Cancellation stops future recurring subscription charges. Unless Truepear states otherwise in writing, cancellation becomes effective at the end of the current paid billing period, and access to paid Platform features continues until that period ends.

You are responsible for canceling before the applicable trial-ending or renewal date to avoid the next charge.

4. Subscription Refunds

Except where required by applicable law or expressly approved by Truepear in writing, Platform subscription fees are non-refundable once charged.

Truepear does not provide prorated refunds or credits for partial billing periods, unused Services, temporary inactivity, failure to use available features, account suspension resulting from a violation, or cancellation after a renewal charge has been processed.

Deleting an account, discontinuing use, or allowing access credentials to lapse does not by itself cancel recurring billing.

5. Recruiting Services Fees

Recruiting Services are separately governed by the applicable Recruiting Services Agreement. Unless a different fee schedule is stated in the applicable Engagement Documentation or an authorized written amendment, the applicable Recruiting Fee is paid as follows:

  • 10% non-refundable Engagement Deposit: due before Truepear begins the recruiting engagement;
  • 45% of the Recruiting Fee: due upon the Candidate’s acceptance of the Client’s employment offer, whether acceptance is written, verbal, electronic, or otherwise communicated; and
  • Remaining 45% of the Recruiting Fee: due sixty (60) days after the Candidate’s employment start date.

If this Policy conflicts with an executed Recruiting Services Agreement regarding Recruiting Services, the Recruiting Services Agreement controls.

6. Non-Refundable Engagement Deposit

The Engagement Deposit reserves recruiting capacity and compensates Truepear for Services and commitments that begin before a Candidate is placed, including recruiting strategy, position intake, market research, sourcing, outreach, screening, project setup, recruiting administration, and related activities.

Because Truepear allocates personnel, technology, time, and recruiting resources at the beginning of the engagement, the Engagement Deposit is earned when paid and is non-refundable, including when the Client pauses, delays, changes, or terminates the search, fills the position independently, or elects not to hire a presented Candidate.

7. Discretionary Client Accommodation

Truepear values long-term Client relationships. When Truepear determines that an accommodation is appropriate, Truepear may, in its sole discretion, provide replacement recruiting efforts, an account credit, a fee adjustment, extended recruiting support, or another accommodation.

Any accommodation is voluntary, may be subject to additional terms, does not constitute an admission of fault or liability, does not alter the non-refundable nature of the Engagement Deposit unless Truepear expressly states otherwise in writing, and does not establish a precedent or obligation to provide a similar accommodation in the future.

8. Chargebacks and Payment Disputes

Before initiating a chargeback, card dispute, ACH reversal, payment-service complaint, or similar payment challenge, the Client agrees to contact Truepear and provide a reasonable opportunity to investigate and address the matter.

In response to a payment dispute, Truepear may provide the payment processor, financial institution, collection provider, or other appropriate party with documentation supporting the authorized transaction and Services performed, including accepted agreements, checkbox and electronic-acceptance records, subscription records, recruiting activity, Candidate submissions, communications, invoices, account activity, login records, payment history, and related documentation.

An improper chargeback or payment reversal does not eliminate the Client’s underlying payment obligation. Truepear may suspend Services and pursue amounts due, permitted fees, and collection remedies.

9. Independent Services

The Truepear Platform subscription and Truepear Recruiting Services are separate offerings and may be subject to separate agreements, fees, billing schedules, cancellation procedures, and termination rights.

Cancellation, expiration, suspension, or termination of a Platform subscription does not cancel, terminate, or relieve payment obligations under an active Recruiting Services Agreement.

Likewise, completion, expiration, suspension, or termination of Recruiting Services does not automatically cancel a Platform subscription or stop recurring Platform billing.

10. Promotional Pricing

Promotional pricing, trial offers, discount codes, coupons, credits, and introductory rates are subject to the terms presented with the applicable offer. Unless expressly stated otherwise, promotions are limited, non-transferable, may not be combined, have no cash value, and cannot be applied retroactively to prior purchases or charges.

When a promotion expires, the applicable Service renews at the then-current standard price unless canceled before the next billing date.

11. Taxes

Fees are exclusive of applicable sales, use, excise, value-added, withholding, or similar taxes and governmental assessments unless expressly stated otherwise. The Client is responsible for applicable taxes associated with its purchase or use of the Services, excluding taxes based on Truepear’s net income.

12. Payment Methods and Authorization

By providing a payment method, the Client represents that it is authorized to use that payment method and authorizes Truepear and its payment processor to charge all fees, taxes, and other amounts due under the applicable agreement.

The Client is responsible for maintaining current, complete, and accurate billing and payment information. Truepear may retry failed payments and use updated payment credentials made available through the payment network or processor where permitted.

13. Late Payments and Collection

Amounts not paid when due may result in suspension or restriction of Platform access, suspension of recruiting activity, withholding of deliverables, termination of Services, or other remedies permitted by the applicable agreement and law.

To the fullest extent permitted by law, overdue amounts may accrue interest at the lesser of one and one-half percent (1.5%%) per month or the maximum lawful rate. The Client is responsible for reasonable collection costs, court costs, and attorneys’ fees incurred to collect amounts properly due.

14. Changes to This Policy

Truepear may update this Policy from time to time to reflect changes in the Services, billing practices, legal requirements, or business operations. The updated version will be posted with a revised effective date or last-updated date.

Material changes apply prospectively unless applicable law requires otherwise. Continued use of the Services after an updated Policy becomes effective constitutes acceptance of the updated Policy.

16. Governing Law

This Policy is governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law.
